Charter/Chapter Operating Policy

VOODOO MISFITS, Kansas City Missouri/Kansas
Charter/Chapter Operating Policy - Aug 7th 2012 - Last Revision: Jan 1st 2015
This Charter/Chapter Operating Policy will not override or conflict with the
Voodoo Misfits Inc Bylaws.

ARTICLE I

The registered office of the Organization shall be in Kansas City, Missouri. The Organization may also have offices at such other places as the Chapter Board of Directors may from time to time appoint or the activities of the Organization may require.

ARTICLE II

The Organization seal shall have inscribed thereon the name of the Organization (Voodoo Misfits Kansas City Chapter), the words "Organized Seal", and the year of its Organization (2011)

ARTICLE III

This Charter/Chapter will be known as VOODOO MISFITS - KANSAS CITY MISSOURI / KANSAS and will have jurisdiction location of a 100 mile radius to the Kansas City Metropolitan area. This Chapter/Charter will herein be referred to as VOODOO MISFITS KANSAS CITY.

ARTICLE IV

1. MEMBERSHIP POSITIONS AND DUTIES

******UPPER BOARD POSITIONS (Directors) ******

A. Chapter Presidential Duties (Required)

1. Preside at all meetings of the Voodoo Misfits Chapter
2. Have general supervision of the affairs of the Voodoo Misfits Chapter
3. See that all orders and resolutions of the Chapter Board and Voodoo Misfits Inc. National Board are carried into effect.
4. Appoint any person or committee members not otherwise ordered by the Voodoo Misfits Chapter
5. Personally represent the Voodoo Misfits Chapter on proper occasions and with business contacts.
6. Assist all other officers of the Voodoo Misfits Chapter in their records, correspondence, and other duties
7. Promote interest on the part of each member in the Voodoo Misfits Chapter and its activities.
8. Execute bonds, mortgages and other documents requiring a seal, under the seal of the Organization.
9. Be EX-OFFICIO a member of all committees and shall have the general powers and duties of supervision and management usually vested in the office of Chapter President.
10. Uphold and enforce all writings of the Voodoo Misfits Inc. Bylaws and Voodoo Misfits Kansas City Chapter Operating Policies.
11. This person can also hold any other Chapter Board of Directors position with the exception of Chapter Secretary.

B. Chapter Vice Presidential Duties (Optional) - (Elected)
1. Perform the duties of the Chapter President in his absence and to assist the Chapter President in all of his duties as needed or requested by the Chapter President.
2. Perform such other duties as he may be required to do from time to time.
3. Uphold and enforce all writings of the Voodoo Misfits Inc. Bylaws and Voodoo Misfits Kansas City Chapter Operating Policies.
4. This person can also hold any other Chapter Board of Directors position with the exception of Chapter Secretary.

C. Chapter Secretarial Duties (Required) - (Elected)
1. Record (or to arrange to be recorded) and maintain records of all meetings in a book or Electronic books kept for that purpose. Such book or books shall also contain records of all meetings of Incorporators and the original or attested copy of the Articles of Incorporation/Association, Chapter Operation Policies, and by-laws of the Corporation and the names of all Chapter Officers and Chapter Board Members and the address and contact phone number of each Chapter Board Member, Officer, and Member.
2. Handle all correspondence for the Voodoo Misfits Chapter as requested by the Chapter President
3. Perform all functions related to the election of Voodoo Misfits Chapter Officers/Board of Directors as described in the Voodoo Misfits Inc. by-laws and these Chapter Operating Policies
4. File with the Internal Revenue Service on a yearly basis.
5. Send out notices of regular or special meetings.
6. Record all votes in a Voodoo Misfits Chapter election.
7. Act as the General Public Relations Person for the Voodoo Misfits Chapter.
8. To maintain the financial records of the Chapter along with the President.
9. To collect all dues and other monies owed to the Corporation
10. To maintain these funds in a bank account in the name of the chapter.
11. To maintain all membership files and records.
12. To keep the President and the editor of the newsletter apprised of all changes in the membership.
13. To provide information to the newsletter committee regarding change of any membership in the newsletter.
14. To examine and (if found correct) approve all bills against the Corporation.
15. To make payments from Corporation funds when so ordered by the President or Board of Directors.
16. This person cannot have any other position on the Board of Directors while they are Secretary except Public Relations Director.


D. Chapter General Duties (Optional) - (Elected)
1.
Monitor the Voodoo Misfits Chapter's property.
2. Assist in the Organization of all Voodoo Misfits Chapter sponsored events.
3. Ensure all Voodoo Misfits Chapter events are setup and functioning on time and smoothly.
4. Assist in the day to day business of the Voodoo Misfits Chapter as needed.
5. Assist and give guidance in the development of all Members and Prospects
6. Be the point of contact to the Voodoo Misfits Chapter's Upper Board for the following positions: Captain, Lieutenant, Officer, Member, and Prospect.
7. Give direction and be accountable for the following positions: Captain, Lieutenant, Officer, Member, and Prospect.
8. Uphold and enforce all writings of the Voodoo Misfits Inc. Bylaws and Voodoo Misfits Kansas City Chapter Operating Policies.
9. This person can also hold any other Chapter Board of Directors position with the exception of Chapter Secretary.


******LOWER BOARD POSITIONS (Officers) ******

E. Chapter Captain (Optional) - (Elected)
1. Monitor the Voodoo Misfits Chapter's property.
2. Assist in the Organization of all Voodoo Misfits Chapter sponsored events.
3. Ensure all Voodoo Misfits Chapter events are setup and functioning on time and smoothly.
4. Assist in the day to day business of the Voodoo Misfits Chapter as needed.
5. Assist the General in the Day to Day business of the Voodoo Misfits Chapter.
6. Uphold and enforce all writings of the Voodoo Misfits Inc. Bylaws and Voodoo Misfits Kansas City Chapter Operating Policies.
7. To give direction and be accountable for the following positions: Lieutenant, Officer, Member, and Prospect.
8. This person can also hold any other Chapter Board of Directors position with the exception of Chapter Secretary.

F. Chapter Lieutenant (Optional) - (Elected)
1. Monitor the Voodoo Misfits Chapter's property.
2. Assist in the Organization of all Voodoo Misfits Chapter sponsored events.
3. Ensure all Voodoo Misfits Chapter events are setup and functioning on time and smoothly.
4. Assist in the day to day business of the Voodoo Misfits Chapter as needed.
5. Assist the General in the Day to Day business of the Voodoo Misfits Chapter.
6. Uphold and enforce all writings of the Voodoo Misfits Inc. Bylaws and Voodoo Misfits Kansas City Chapter Operating Policies.
7. Give direction and be accountable for the following positions: Officer, Member, and Prospect.
8. This person can also hold any other Chapter Board of Directors position with the exception of Chapter Secretary.

G. Chapter Officer (Optional) - (Elected)
1. Monitor the Voodoo Misfits Chapter's property.
2. Assist in the Organization of all Voodoo Misfits Chapter sponsored events.
3. Ensure all Voodoo Misfits Chapter events are setup and functioning on time and smoothly.
4. Assist in the day to day business of the Voodoo Misfits Chapter as needed.
5. Assist the General in the Day to Day business of the Voodoo Misfits Chapter.
6. Uphold and enforce all writings of the Voodoo Misfits Inc. Bylaws and Voodoo Misfits Kansas City Chapter Operating Policies.
7. Give direction and be accountable for the following positions: Member, and Prospect.
8. This person can also hold any other Chapter Board of Directors position with the exception of Chapter Secretary.

******APPOINTED POSITIONS******

H. Chapter Sgt. at Arms (Optional)
1.
Position is appointed by the Voodoo Misfits Chapter President
2. This position will report directly to the Chapter President
3. Monitor the Voodoo Misfits Chapter's property.
4. Be head of Security Team to the Chapter President
5.
Uphold and enforce all writings of the Voodoo Misfits Inc. Bylaws and Voodoo Misfits Kansas City Chapter Operating Policies.
6. This person cannot hold any other Chapter Board of Directors position.

I. Chapter Enforcer (Optional)
1.
Position is appointed by the Voodoo Misfits Chapter Vice President
2. This position will report directly to the Chapter Vice President
3. Monitor the Voodoo Misfits Chapter's property.
4. Be head of Security Team to the Chapter Vice President
5.
Uphold and enforce all writings of the Voodoo Misfits Inc. Bylaws and Voodoo Misfits Kansas City Chapter Operating Policies.
6. This person cannot hold any other Chapter Board of Directors position.

J. Chapter Safety Officer (Optional)
1.
Position is appointed by the Voodoo Misfits Chapter General
2. This position will report directly to the Chapter General
3. Be in charge of the safety of the Voodoo Misfits Chapter and Chapter Membership.
4

Uphold and enforce all writings of the Voodoo Misfits Inc. Bylaws and Voodoo Misfits Kansas City Chapter Operating Policies.
5. This person cannot hold any other Chapter Board of Directors position.


K. Chapter P.R. Director (Optional)
1.
Position is appointed by the Voodoo Misfits Chapter Secretary
2. This position will report directly to the Chapter Secretary
3. Assist the Secretary in his/her duties.
4. Be in Charge of Public Relations regarding the Chapter
5.
Uphold and enforce all writings of the Voodoo Misfits Inc. Bylaws and Voodoo Misfits Kansas City Chapter Operating Policies.
6. This person cannot hold any other Chapter Board of Directors position.



******GENERAL MEMBERSHIP POSITIONS******

L. Chapter Member
1.
Uphold and enforce all writings of the Voodoo Misfits Inc. Bylaws and Voodoo Misfits Kansas City Chapter Operating Policies.
2. A Full member is a member of good standing.
3. A Full member is an individual who has kept his/her membership current while representing the Voodoo Misfits Chapter in a positive manner.
4. A Full Member should assist in the growth and development of the Voodoo Misfits Chapter.
4. A Full Member should strive to participate in all Voodoo Misfits Chapter functions such as Charity events, Socials and Meetings.
5. Members will pay costs incurred for all patches. Costs must be paid prior to receiving patches. (Due to fluctuation of costs for material and labor the price of patches may also fluctuate)
6. Full members can be reduced to a Probationary Member and/or fined by majority vote of the Chapter Board of Directors for violations of the Corporation Bylaws, violations Chapter Operating Policy, or violations to any Corporation/Chapter Operating Procedures.

M . Chapter Probationary Member
1.
Uphold and enforce all writings of the Voodoo Misfits Inc. Bylaws and Voodoo Misfits Kansas City Chapter Operating Policies.
2. A Probationary member is one who aspires to become a Full Member. This individual must be sponsored by a Full member in good standing. Probationary members have no voting rights. The full probationary membership term is one (1) year
3. All Probationary Members must:
a. Interact well with other current members.
b. Improve the climate of the Voodoo Misfits Chapter when present.
c. Serve a period of time (to include an unspecified amount of rides and post meetings and Voodoo Misfits Chapter functions) until a full member in good standing will sponsor the Probationary Member for membership.
4. At the completion of the Probationary Members qualifying period, a Voodoo Misfits Chapter vote will be taken into consideration with the final decision to be made from the Founding Members and Current Chapter Board.
5. A Probationary/Prospect Member should strive to participate in all Voodoo Misfits Chapter functions such as Charity events, Socials and Meetings.

N. Chapter Absentee/Inactive Member
a. An Absentee/Inactive Member is a former Full member who is no longer able to participate in the functions of the Organization due to extenuating circumstances.
b. An Absentee/Inactive Member no longer has voting rights.
c. An Absentee/Inactive Member may continue receiving the Organization newsletter
d. An Absentee/Inactive Member may return to Full Membership by paying the difference in dues.
e. Members are allowed to have Absentee/Inactive status no longer than a period of 3 (three) months. After 3 (three) months as Absentee/Inactive status the member must request an Absentee/Inactive status extension, return to active membership, or resign.
f. A member requesting to become Absentee/Inactive must do so in writing to the Chapter Board of Directors. The Chapter Board will then decide by vote if the member should be allowed to become Absentee/Inactive.

O. Chapter Membership Requirements
1. All areas of membership should strive to be active in the activities of the Voodoo Misfits Chapter. Members who cannot remain active in the activities of the Voodoo Misfits Chapter can and will be asked to depart from the Voodoo Misfits Chapter. Active includes attendance and participation. All items property of VOODOO MISFITS KANSAS CITY and all items containing the Corporation Name/Logo must be returned, without reimbursement, if a member leaves VOODOO MISFITS KANSAS CITY. If a member leaves the Organization, for any reason, he/she must return the Organization patches (this includes any patch provided by the organization) and any items with the Organization Name or Logo without reimbursement to a current Chapter Board Member within 24 hours of leaving the Organization. This includes but is not limited to: Clothing, Hats, Coins, Patches, Pins, Paperwork, Signage, and ECT. All property belonging to the Corporation/Chapter must also be returned within 24 hours.



P. Chapter Board Membership Requirements
1. All Chapter Board Members (Elected, Appointed, and O9) must have an active AMA Membership and keep an active AMA membership while on the Chapter Board. Newly elected or appointed Chapter Board Members will have 30 days to obtain AMA membership from the date they were elected or appointed a Chapter Board position. If a Chapter Board member fails to obtain AMA Membership or allows their AMA membership to expire while holding a Chapter Board Position (Elected or Appointed) that Chapter Board member will be asked to resign from their Chapter Board position. O9 members must have an active AMA membership to have a valid vote in any meetings regarding Voodoo Misfits Inc. or any Voodoo Misfits Chapter. The Chapter Secretary will verify all AMA memberships and keep a photocopy of all AMA Membership Cards on file.
2. All Chapter Board Members must be 21 years old or older
3. All Chapter Board Members must strive to be active in at least 80% of all VMKC events and collections.
4. All Chapter Board members must be active in 80% of VMKC events that promote VMKC.
5. All Chapter Board members must be active in the growth and development of VMKC and it members.
6. All Chapter Board members must have an operational motorcycle and able to attend VMKC member rides.
7. All Chapter Board members must be able to assemble within 24 hours to handle any VMKC business.
8. Chapter Board members that are not fulfilling their position duties and are not active in the Voodoo Misfits Chapter can be removed by a Vote of No Confidence. A vote of no confidence must be started during a meeting of the Membership of the Voodoo Misfits Chapter by one member setting a motion for a Vote of No Confidence and another member seconding the motion. A vote from the membership present and a majority 2/3rds Vote is required to the vote to pass. The Chapter Board member that the vote involves must be present if at all possible. Votes of No Confidence that involve a Chapter President must include the National Board of Voodoo Misfits Inc and any remaining Original 9 Members. Votes of No Confidence involving a Chapter President must be a Unanimous Vote of all persons present to remove the Chapter President. At anytime the National Board may also remove a Chapter Board Member from their Position if they are not fulfilling their position duties or are a present danger to the operating structure of the Voodoo Misfits Chapter. Removal of a Chapter Board Member by the National Board must be a unanimous decision of the National Board of Voodoo Misfits Inc.

ARTICLE V

1. CHAPTER DUES

The Chapter Dues are $180.00 per year ($15 monthly). If a member joins after the First of January, that individual pays only the difference for the remainder of the year. Dues shall be designated by the Chapter Board. Dues may vary according to class of membership, and shall be due on January 1 of each year and no later than January 31st of any given year. Dues may be changed or waived for members of special circumstances. These special circumstances will be taken to a Chapter Board vote. Dues for an Absentee Member will be half the Full Members fee to be reinstated. There will be a fine given for any member who is late paying his/her dues. That fine is not to exceed $1.00 per day late.

2. CHAPTER ANNUAL EVENT

The Annual Event for VOODOO MISFITS KANSAS CITY will be held on the Fourth (4th) Sunday of July Yearly. The event will be known as VOODOO MISFITS KC ANNUAL RIDE and all proceeds shall benefit a local Charity or a local Family/Person in need. The Annual Event is mandatory for all areas of membership of Voodoo Misfits Kansas City.

3. CHAPTER MEETINGS

There shall be three (3) types of meetings: Chapter General Meetings, Chapter Board Meetings and Annual Meetings.

A. Chapter General Meetings shall be held once each month (Generally on the 3rd Sunday of each month) at a place and time to be determined by the Chapter Board of Directors. The Chapter Board of Directors shall determine at each general meeting the date, time, and location of the succeeding month's meeting, and this information shall be reported in the following month's newsletter. Two-thirds of the Members are a quorum and business can be conducted as scheduled. A majority vote of all Full Members present, and voting, shall be required for passage of all business resolutions. There shall be no proxy votes unless prior arrangements have been made through the Founding Fathers and Current Officers. Visitors/Probationary Members may attend Voodoo Misfits General meetings if arrangements have been made prior to the meeting.

B. Chapter Board Meetings shall be held when deemed necessary by the Chapter President. The Chapter President shall determine the date, time, and location of each Chapter Board meeting and make this information available to the Board Membership. Two Thirds (2/3) of the Chapter Board members shall constitute a quorum and business can be conducted as needed. A majority vote of all Chapter Board members present, and voting, shall be required for passage of all business resolutions. Proxy votes must be arranged prior to a meeting. Chapter Board meetings will be closed unless prior arrangements have been made.
i. The Voodoo Misfits Chapter shall keep books and records of account and minutes of the proceedings of its members and Chapter Board and executive committee, if any. The Voodoo Misfits Chapter shall make available for inspection at its registered office, in this State, records containing the names and addresses of all members, the number, class and series of memberships held by each and the dates when they respectively became members of record thereof.
ii. Upon written request by certified mail of any member, the Voodoo Misfits Chapter shall mail to that member its balance sheet as at the end of the preceding fiscal year, and its statement of income and expenses for that fiscal year.

C. Chapter Annual Meetings The November General Meeting shall be the Voodoo Misfits Chapter Annual Meeting. Annual Meetings will be closed to anyone that is not a current full member of Voodoo Misfits.
The Annual Meeting and July Meeting are Mandatory for all areas of the Chapter Membership


4. CHAPTER ELECTIONS
Elections shall be held each November of every year in Kansas City. The Chapter President shall invite nominations for each of the elected offices for Kansas City at the September meeting or in the September newsletter. Any full member in good standing may nominate another full member of good standing for an office by contacting the Chapter President. The Chapter President shall then determine if the nominee is eligible to serve under the conditions set forth in these Operating Policies and the Voodoo Misfits By-Laws. If the nominee is eligible, the Chapter President shall contact the nominee and determine if he/she is willing to serve; if so, the nominee's name shall be placed on a ballot to be included at the November meeting. If so desired, each nominee will have an opportunity to include a small bio and goals in the October newsletter or the opportunity to speak at the October meeting. An anonymous ballot election shall take place at the November Annual Meeting. The current Chapter President and Chapter Secretary may count the ballots or may appoint another member to do so. The results of the election shall be announced by the Chapter President at the December General Meeting and published in the January issue of the newsletter. New Office positions will take effect on January 1st of each year in Kansas City. All Chapter Board Positions with the exception of Chapter President will be up for election. In the event that the Chapter President can no longer perform their duties, resigns or is removed from the Chapter President position the next highest ranking elected Chapter Board member will automatically be placed into the vacant Chapter President position.

5. NO PERSONAL LIABILITY

Members of the Organization, including the Founding Fathers, Current Chapter Officers and Current Chapter Board members, shall not be personally liable for any debt, liability, or obligation of the Organization All persons, corporations, or other entities extending credit to, contracting with, or having claim against the Organization may look only to the funds and property of the Organization for payment of any such contract or claim, or for the payment of any debt, damages, judgment, or decree, or for any money that may otherwise become due or payable to them from the Organization.

6. GUIDELINES FOR CHARITABLE GRANTS

The Organization will have several different methods of fundraising events. Some examples may include but shall not be limited to: Motorcycle Runs, Bike Washes, sales of items/services, food/clothing drives, recycling programs, collections of items, and Breakfasts/Brunches/Lunches/Dinners. Donations collected by these fundraising events will be dispersed to other 501 (c) (3) charities, private foundations, accounts established for families where tragedy has stricken and families or individuals where medical and/or therapeutic needs have arisen. Decisions regarding recipients of charitable donations will be made by the Current Officers and Founding Members of the Chapter. Once a recipient has been determined, an officer of the Chapter will confirm the books and records of the 501 (c) (3) charitable Corporations, private foundations, families or individuals.

7. AMENDMENTS

These Charter/Chapter Operating Policies may only be amended by a 3/4 majority vote of The National Board and Chapter Board of Directors in good standing. Amendments may be proposed by any Chapter Full Member and must be submitted to the Chapter Membership through a member of the Chapter Board, in writing, at least thirty (30) days before a vote.

8. DISSOLUTION

If at any time in the future, the Chapter Membership and National Board decides to dissolve the Charter/Chapter, as shown by a unanimous vote of all Chapter Full Members and National Board Voodoo Misfits Inc, after payment of all of the liabilities of the Charter/Chapter or due provision therefore, all of the assets of the Charter/Chapter shall be transferred to the Corporation (National Board) to be converted to cash and donated to a non-profit registered 501c3 Charity. Said donation is to be used exclusively to support the non-profit registered 501c3 Charity
